2. Scope and Application

These Terms & Conditions ("Terms") govern all sales of Products by Biovera-Research Ltd to the Buyer. By placing an order, the Buyer agrees to be bound by these Terms.

GSP facilitates payments and order processing as disclosed agent for Biovera and assumes no contractual liability beyond those required by law as a payment intermediary.

4. Pricing, Payment, and Taxes

All prices are in Australian Dollars (AUD) and include Goods and Services Tax (GST) where applicable. GST will be applied to Australian sales in accordance with Australian law and to New Zealand sales in accordance with New Zealand law.

Payments are processed by GSP on behalf of Biovera via direct bank transfer. Title to the Products passes to the Buyer only upon receipt of full payment by Biovera.

5. Shipping, Delivery, and Risk

Orders are fulfilled from Australia or New Zealand at Biovera's discretion. Risk in the Products passes to the Buyer upon dispatch.

Biovera is not liable for delays caused by customs, couriers, or events beyond its control. Buyer assumes all import responsibilities.

6. Returns and Defects

Products are supplied "as is", with no warranty beyond statutory minimums under the Australian Consumer Law and the New Zealand Fair Trading Act.

Due to the nature of RUO peptides, returns are not accepted unless goods are defective upon receipt and Biovera is notified within five (5) days of delivery.

Biovera may, at its discretion, replace defective goods or refund the purchase price.

7. Limitation of Liability

To the fullest extent permitted by law, the liability of Biovera (and GSP as agent) is limited to the total price paid for the relevant Products.

Neither party shall be liable for consequential, indirect, or special loss.

The Buyer indemnifies Biovera and GSP against any third-party claim arising from misuse or breach of these Terms.

8. Compliance and Regulatory Disclaimers

The Buyer acknowledges that the Products are not registered or approved under any therapeutic, diagnostic, or veterinary regime.

The Buyer must not make or imply any therapeutic claims and must comply with all applicable laboratory safety and research regulations.

9. Privacy and Data Handling

Personal data collected by Biovera or GSP is handled in accordance with the Privacy Act 1988 (Cth) and Privacy Act 2020 (NZ).

Information will be used solely for order fulfilment and compliance purposes.

Biovera and GSP maintain commercially reasonable security measures for all stored personal data.

10. Force Majeure

Biovera and GSP are not liable for failure to perform obligations due to events beyond their reasonable control, including but not limited to natural disasters, pandemics, transport disruptions, supplier failure, or regulatory action.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of New Zealand.

Disputes shall be submitted to the exclusive jurisdiction of the courts in the relevant governing territory.
